The terms behind working with us.

These Terms govern your access to and use of the Compliance Factory website, platform, services, and the administrative compliance support and professional referrals we coordinate for South African businesses.

Introduction and acceptance

These Terms of Service (“Terms”) govern your access to and use of the website, platform, tools, communications, and services made available by Compliance Factory (“we”, “us”, “our”).

By accessing or using our website, requesting a Compliance Health Check, submitting an enquiry, or using any Compliance Factory service, you agree to be bound by these Terms and our Privacy Statement. If you do not agree, you may not use our services.

Our role

Compliance Factory is a practical compliance services marketplace. We help South African businesses get their basic compliance affairs in order by handling administrative and documentation work directly, and by coordinating referrals to vetted professionals where regulated authority is required.

We are not a law firm, audit firm, accounting practice, registered tax practitioner, or registered FAIS compliance practice unless a specific service is delivered by an appropriately authorised professional on our panel. Where legal, tax, accounting, audit, labour, FAIS, or other regulated advice is required, the matter is referred to a suitably qualified and authorised professional.

Services we provide

Through our platform and panel, we may provide access to the following services and related support:

CIPC compliance

Annual returns, director, address and contact updates, beneficial ownership and related CIPC administration.

SARS & tax admin support

eFiling profile setup, income tax registration support and tax compliance status assistance.

UIF & COIDA support

UIF registration and declarations, COIDA registration and Letter of Good Standing assistance.

Procurement readiness

Document readiness for public sector procurement, supplier onboarding and corporate vendor packs.

Health check

A structured review of where your business stands and what is outstanding, with clear next steps.

Specialist marketplace

Coordinated referral to vetted accountants, tax practitioners, attorneys and compliance professionals.

The exact scope of any engagement is confirmed with you before work begins. Some services are delivered by Compliance Factory directly; others are delivered by an authorised professional on our panel under their own professional terms.

Referrals and panel professionals

Where a matter requires a registered professional, we will route it to a vetted accountant, tax practitioner, attorney, FAIS compliance officer, or other appropriately authorised professional on our panel.

  • Regulated advice and authorised work are provided by the panel professional, not by Compliance Factory.
  • Such work is governed by the professional's own engagement terms, mandate, and professional standards.
  • We coordinate the introduction and keep the process moving, but we do not supervise or guarantee their professional outcomes.
  • You remain free to use a professional of your own choosing at any time.

Eligibility

To use our services, you confirm that you:

Are at least 18 years of age
Are legally able to enter into binding agreements
Are authorised to act for the business you represent
Will provide accurate, complete and current information
Will comply with all applicable South African laws
Will provide documentation required for verification

Your information and consent

You agree that information you provide to us — through our website, forms, email, WhatsApp, or other channels — must be accurate, complete, and up to date. We use this information to assess your request, perform or coordinate services, verify identity where required, communicate with you, and meet our legal obligations.

How we collect, use, store, and protect your personal information is set out in our Privacy Statement, prepared in line with the Protection of Personal Information Act (POPIA).

Providing false, incomplete, or misleading information may result in declined or delayed work, rejected submissions, termination of services, or — where required by law — reporting to the relevant authority.

Fees and payments

Quoted before work begins

Fees for any paid service are disclosed to you in a quotation or service summary before the work is accepted.

Statutory and third-party costs

Government fees, levies, and charges payable to CIPC, SARS, the UIF, the Compensation Fund, or others are separate from our service fees.

Professional fees

Where a panel professional is engaged, their fees are governed by their own engagement terms and disclosed to you separately.

The Health Check

Any complimentary assessment we offer carries no fee. Any chargeable service arising from it is confirmed with you first.

Your responsibilities

You are responsible for:

Giving us complete and truthful information
Providing supporting documents promptly
Reviewing documents prepared on your behalf before submission
Paying statutory fees and approved service fees on time
Keeping your contact and business details current
Acting on the guidance and next steps we share with you

No regulated advice

Unless expressly delivered by an authorised professional on our panel, nothing on our website or provided through our services constitutes legal, tax, accounting, audit, labour, financial, or FAIS advice, and it should not be relied upon as such.

Information and templates are provided for general guidance and administrative convenience only. Where you need advice you can rely on, we will refer you to a suitably qualified professional.

Use of the platform

Electronic forms, consents, and communications are valid and binding
You are responsible for keeping any login or access details secure
You must not allow unauthorised persons to use your account
Submissions made using your credentials are treated as authorised by you
Notify us immediately if you suspect unauthorised access or fraud
We may use electronic communication for service and record-keeping

Prohibited activities

Not permitted

You agree not to use our website, platform, or services for any unlawful, abusive, fraudulent, or prohibited purpose, including:

Providing false or misleading information
Submitting fraudulent applications or documents
Impersonating another person or business
Breaching any applicable law or regulation
Infringing intellectual property rights
Uploading malware or malicious content
Attempting unauthorised system access
Interfering with the operation of the platform

Suspension and termination

We may suspend, restrict, or terminate your access to our services where you breach these Terms, provide false information, fail to pay agreed fees, or for any legitimate business or legal reason.

Ending your use of our platform does not by itself reverse or cancel any submission already made to a third party, or any separate engagement you have with a panel professional.

Intellectual property

All content, trademarks, logos, designs, software, templates, and materials made available through Compliance Factory are owned by or licensed to us. You may not copy, reproduce, modify, distribute, or create derivative works without our prior written consent, and may use our website and platform only for lawful, authorised business purposes.

Disclaimers

Our website, platform, and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law:

  • We do not guarantee uninterrupted, error-free, or secure access to the platform.
  • We do not guarantee approval of any registration, return, or application by a third party.
  • We are not responsible for delays caused by CIPC, SARS, the UIF, the Compensation Fund, or other authorities.
  • We are not liable for the independent acts, advice, or omissions of panel professionals.
  • Nothing here excludes liability that cannot lawfully be excluded.

Limitation of liability

To the fullest extent permitted by law, Compliance Factory and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or economic loss arising from your use of, or inability to use, our services, from third-party decisions or delays, from the acts of panel professionals, or from any matter outside our reasonable control.

Where our liability cannot be excluded, it is limited to the fees you paid to us for the specific service giving rise to the claim, to the extent permitted by applicable law.

Indemnification

You agree to indemnify and hold harmless Compliance Factory, its owners, employees, and partners from any claims, losses, damages, penalties, or expenses arising from your use of our services, your breach of these Terms, any false information you provide, your violation of law, or your infringement of the rights of others.

Privacy and data protection

We process personal information in line with POPIA and other applicable South African law. We do not sell your personal information. Full details are set out in our Privacy Statement.

Governing law

These Terms are governed by and interpreted in accordance with the laws of the Republic of South Africa, and you consent to the jurisdiction of its courts, subject to any applicable statutory dispute resolution process.

Changes to these terms

We may update these Terms from time to time. When we do, we will post the updated Terms here and revise the “Last updated” date. Your continued use of our services after the effective date means you accept the revised Terms.
